Creator and Auctions Account Agreement
1. Parties, Roles and Scope
An agreement for the account services selected
1.1 Operator. This Agreement is between you and MOYOTUBE TECHNOLOGIES LLC, a New Jersey domestic limited liability company formed October 8, 2026, entity ID 0451541172. “MoyoTube,” “we” and “us” mean that company. Its main business address in the supplied formation certificate is 2110 E RT 70, Cherry Hill, NJ 08003, United States.
1.2 Roles. “Creator” means a user who publishes or operates a channel or supported community. “Seller” means a person offering an auction item with authority to sell it. “Bidder” means a person participating in bidding or purchasing under applicable sale conditions. You may select more than one role, subject to activation and verification. 1.3 Acceptance. You enter this Agreement by selecting the required unticked acceptance controls and pressing the signup confirmation button after the agreement is clearly made available. If you do not agree, the Creator and Auctions Account must not be created. No hidden footer link or preselected acceptance is intended to substitute for your affirmative agreement.
1.4 Scope. This Agreement governs the offered account and enabled features, not unrelated services or purchases from MoyoTube or its affiliates. Individual memberships, campaigns, monetization programmes and auctions need their applicable terms presented before participation or payment. Signup does not accept every future offer.
1.5 Documents. The adopted Terms of Service and relevant published policies must be linked and identified at acceptance. Privacy and Cookies notices explain processing and choices; acknowledging them is not consent to optional tracking or marketing. An unpublished policy is not silently binding.
1.6 Priority. Mandatory law prevails. A specific, accepted sale or programme agreement governs its own subject matter without removing mandatory rights. Resolve inconsistencies by the disclosed document hierarchy and the applicable law; these account terms do not rewrite completed transactions.
2. Eligibility and Account Security
Confirm age, authority and accurate information
2.1 Eligibility. You must be at least 18 years old, have legal capacity to contract, and satisfy any higher age or qualification required for the selected activity in your location. Do not register on behalf of a minor. The company must adopt and implement this proposed adult-only model before using it as a live rule.
2.2 Representation. For a business or organization, you confirm authority to create and operate the account and bind that entity for the selected services. Name the entity accurately. You do not become authorized to sell another person’s assets merely by creating an organizational account.
2.3 Information. Provide accurate account, channel, business, identity, payment and tax information when actually required for the feature. Keep it current. Do not impersonate, conceal a prohibited account relationship or create replacements to evade lawful restrictions.
2.4 Verification. We may proportionately verify identity, authority, age, item ownership, payment eligibility or compliance where necessary. Requested documents must have a justified purpose and be handled under the Privacy Policy. Signup acceptance does not eliminate our obligation to provide notices or secure that information.
2.5 Permissions. Account creation is not automatic approval to broadcast, monetize, sell restricted categories, receive payouts or act as a presenter. Feature access can require separate approval. Do not imply that pending status is verification or endorsement.
2.6 Security. Protect credentials, use available account controls and restrict organizational access to authorized personnel. Report suspected compromise promptly. You are responsible for actions you authorize, but not automatically liable for every unauthorized transaction contrary to applicable law.
2.7 Geography. Comply with lawful access, licensing, sanctions and transaction restrictions. Do not bypass them using false location details. International availability does not mean every feature is lawful or supported in every jurisdiction.
3. Creator Rights and Content
You keep ownership and grant a limited operating licence
3.1 Your material. You retain the rights you own in videos, music, podcasts, images, streams, descriptions, listings and other submitted material. Represent that you own the necessary rights, have the relevant permission or can rely on another lawful basis for the specific uses authorized.
3.2 Platform permission. You grant MoyoTube a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, format, transcode, transmit, perform, display and distribute your submitted material only as reasonably necessary to provide the features you use. It includes appropriate playback, thumbnails and discovery excerpts, respecting the chosen audience and access settings.
3.3 Providers and duration. Service providers may exercise this permission only on our behalf for those purposes. The licence lasts while the material is hosted and for limited removal, backup or lawful-preservation needs. Preserved records do not authorize new public distribution. Copies independently retained by others may remain outside our control. 3.4 Limits. This operating licence does not transfer ownership or grant a separate right to sell your work, endorse unrelated products with your identity, or train unrelated general-purpose AI models. Additional reuse, campaign rights or assignments require an appropriate separate agreement or legal basis.
3.5 Music and contributors. Clear rights in both compositions and recordings where applicable. Verify permissions for video synchronization, samples, performances, guest contributions, recordings, archives and commercial use. Buying music, adding credit or using a short clip does not automatically authorize publication.
3.6 Visibility. Confirm whether material is public, protected, archived or a teaser. A private audience does not cure missing rights. Obtain required permissions for personal information and respect privacy, publicity, trademarks and confidential information.
3.7 Copyright process. The adopted Copyright and DMCA Policy governs notices, counter-notices and repeat-infringer handling. A statutory counter-notice is distinct from a general appeal. No blanket music licence or DMCA registration is represented by this account Agreement.
4. Creator Commercial Use
Monetization requires separate activation and terms
4.1 Programme participation. Earnings are available only under an activated programme for which you meet current criteria and accept applicable terms. Approval, verified activity, lawful location, identity/tax requirements and supported payout methods may apply. A public view count or signup confirmation does not itself create an earning entitlement. 4.2 Rates and records. Applicable rates, thresholds, windows, fees, minimums and timing must be disclosed in accepted programme terms. Marketing examples are not income guarantees. Distinguish estimated activity from finalized credits. Prospective changes cannot silently reduce valid accrued contractual entitlements.
4.3 Integrity. Do not buy fake engagement, use bots, manipulate ad evidence or exploit duplicate payments. Rights or fraud disputes may justify a documented, proportionate hold or adjustment with an explanation and review route where permitted. We do not obtain a blanket right to retain valid earnings indefinitely.
4.4 Clubs and memberships. Describe the benefits, access period and price accurately. The supplied club model uses prepaid monthly or annual terms; renewal is not an automatic recurring charge mandate. An existing member’s optional contribution remains optional and does not itself create or extend membership.
4.5 Sponsored content. Identify commercial relationships appropriately and use claims you can substantiate. Campaign fees, deliverables, rights, scheduling and reports need a specific accepted arrangement. A paid boost does not guarantee placement, audience growth or sales.
4.6 Taxes and payouts. Provide necessary information and meet your applicable tax duties. Required withholding or reporting can apply. A ledger credit is not an instant bank deposit. Closing an account alone does not forfeit valid accrued earnings, refunds or funds held for you.
4.7 Relationship. Publishing or earning on the platform does not by itself establish employment, agency or an exclusive partnership. The actual relationship and mandatory law control. Do not represent yourself as authorized to make commitments on MoyoTube’s behalf.
5. Auction Seller Undertakings
Be authorized to sell and describe the item accurately
5.1 Seller identity and role. Each listing must identify the seller and its commercial capacity. Unless the offer explicitly identifies MoyoTube otherwise, you are the seller and we provide the available platform functions. Actual activities can create legal duties despite labels; this Agreement does not declare us universally exempt from seller or auction obligations.
5.2 Authority. Confirm lawful ownership or authority to offer and transfer the item. Do not list stolen, counterfeit, prohibited, unlawfully transferable or misleadingly described goods. Keep evidence of provenance and rights where relevant. Selling an item does not necessarily transfer its copyright.
5.3 Disclosure. State the item, condition, material defects, authenticity claims, quantity, price structure, reserve status, fees, shipping, restrictions, return conditions and fulfilment obligations. Do not hide mandatory charges or rely on disclaimers to excuse knowingly false claims.
5.4 Auction conditions. Before bidding, disclose closing mechanics, extensions, reserve treatment, valid sale-completion event, payment deadline and available lawful bid-retraction process. Do not change material listing terms after bids in a way that violates law or the accepted conditions.
5.5 Fair participation. Do not make or procure deceptive bids on your own items, coordinate shill bidding, use hidden related accounts or fabricate activity to raise prices. This platform proposes to prohibit seller-side price manipulation even where a narrower statutory rule permits disclosed practices.
5.6 Fulfilment. Complete valid sales, supply the agreed item, provide accurate shipping information and meet applicable consumer and product duties. Refund, warranty, return, customs and delivery obligations follow the accepted sale and mandatory law. A listing fee does not buy permission to ignore them.
5.7 Disputes. Cooperate with proportionate investigation of non-delivery, misdescription, ownership, payment and fraud claims. Provide reliable records. Do not retaliate against a buyer for exercising a lawful remedy or make a false authenticity certification.
6. Auction Bidder Undertakings
Understand the auction before committing
6.1 Genuine bids. Bid only with authority, accurate information and a genuine intention to satisfy a valid resulting sale. Do not coordinate price manipulation, impersonate another bidder, disrupt an auction or falsely report payment. Meet the disclosed qualification and payment-method requirements.
6.2 Review first. Read the seller identity, item description, condition, reserve, total charges, closing method, delivery, returns and restrictions before bidding. Ask questions through supported channels if material information is unclear. An apparent leading bid is not necessarily a completed sale.
6.3 Sale completion. A bid is handled according to the auction’s accepted conditions and applicable law. A valid completed sale can create a payment obligation. This signup Agreement does not make every click immediately and irrevocably binding or waive a lawful retraction right.
6.4 New Jersey goods auctions. Where N.J.S.A. 12A:2-328 applies, a goods auction is with reserve unless expressly offered without reserve. A bidder can retract before the auctioneer announces completion, and retraction does not revive an earlier bid. The statutory rules for withdrawal and completion apply; the interface and listing must not contradict them.
6.5 Other sales. Different items, locations or mandatory rules can change the legal result. The specific auction must explain the lawful closing and retraction mechanism. We do not represent that the New Jersey goods-auction rule governs every international or intangible sale.
6.6 Payment and issues. Pay for a valid completed sale under the disclosed timing and method. Report mistakes or unauthorized activity promptly. Lawful non-delivery, misdescription, chargeback and consumer remedies remain available; reporting an issue is not itself auction abuse.
6.7 Membership. Protected club auctions may require current membership to view or bid. Membership access does not include the price of a winning purchase unless expressly stated. Winning-auction payment is separate from an optional contribution.
7. Payments and Sale Records
Signup is not a blanket charge authorization
7.1 Specific authorization. Account acceptance does not authorize every future fee or debit, a stored-card mandate, automatic settlement of every asserted debt, or recurring charges. Each payment requires the applicable clear amount, currency, purpose and authorization. A completed sale may create an obligation even where payment is separately collected.
7.2 Charges. Disclose listing, collection, processing, administration, buyer premium, delivery, taxes or other applicable charges before the relevant commitment. No fixed universal auction fee schedule is supplied here. Currency amounts must not be combined as if they were one denomination.
7.3 Transaction roles. The particular offer must identify the seller, payment collector and relevant platform role. Payment processors can have separate terms, but those do not eliminate our obligations for our own conduct. Do not characterize balances as bank deposits, insured funds or escrow without a lawful, verified arrangement.
7.4 Delivery and ownership. The sale terms must specify delivery, timing, title, risk of loss and relevant customs matters, subject to mandatory law. Do not infer transfer of copyright from ownership of a physical object. Necessary fulfilment data should be disclosed only to the relevant parties.
7.5 Errors and refunds. Investigate duplicate, erroneous or unauthorized charges. Provide legally required and agreed remedies for non-delivery or deficient paid access. There is no blanket “all sales final” waiver. Returns and statutory withdrawal rights depend on the actual transaction and applicable law.
7.6 Evidence. Keep necessary listing, bid, closing, payment and delivery records. Platform snapshots can support a dispute but are not automatically conclusive legal evidence or a substitute for a court. False records or deletion intended to obstruct a lawful review are prohibited.
7.7 Holds. Apply lawful and proportionate payment restrictions to substantiated issues, explain them where permitted and resolve them without arbitrary indefinite delay. No account closure automatically confiscates valid balances or cancels accrued refund obligations.
8. Conduct and Live Activity
Platform use requires responsible participation
8.1 Prohibited use. Do not engage in unlawful content, exploitation, threats, targeted harassment, fraud, trafficking, malware, access attacks or unlawful disclosure of private information. Do not use creator or auction features for illegal gambling or an unapproved regulated offering.
8.2 Auction integrity. Do not manipulate bids, exploit timing or payment faults, bypass club membership checks, or use another identity to evade a restriction. A temporary technical advantage does not authorize activity contrary to disclosed rules or law.
8.3 Live broadcasts. You are responsible for material you transmit and guests you authorize. Hold the relevant rights for live transmission and any replay or highlight. Streams can be delayed or interrupted; no guaranteed latency, audience, private live-video function or uninterrupted event is offered by this Agreement.
8.4 Presenter and booking approval. Supported live-auction or studio roles may need booking, content or presenter approval. Signup does not bypass those controls. Do not combine unrelated or protected lots in a way that defeats access requirements.
8.5 Protected content. Do not share credentials, expose protected playback links or capture material for unauthorized redistribution. A lawful exception remains available where applicable; account access itself is not a redistribution licence.
8.6 Honest commercial messages. Identify paid relationships and avoid false product, safety, authenticity or earning claims. Platform approval does not establish endorsement, appraisal, authenticity, investment suitability or legal compliance of the offering.
8.7 No agency. Do not represent MoyoTube as the seller, insurer, sponsor or guarantor unless a particular approved arrangement actually states that role. Do not bind the company through private promises or off-platform representations.
9. Privacy and Communications
Required acceptance is separate from optional consent
9.1 Privacy notice. The adopted Privacy Policy explains information categories, purposes, recipients, retention, transfers and rights. Acknowledging that it was provided is not a waiver or blanket consent to all processing. Identity and transaction checks need a justified purpose and proper disclosures.
9.2 Public visibility. Profile details, public material and supported interactions can be visible to others according to the feature. The auction must explain bid and winner visibility and necessary fulfilment disclosures before participation. Protected access does not guarantee that authorized viewers cannot copy material.
9.3 Optional choices. Marketing, non-exempt tracking and optional personalization require their own appropriate choices. These must not be prechecked or made mandatory merely to create the account. Refusal must not be treated as failure to accept this Agreement.
9.4 Service messages. We may send necessary account, security, receipt, legal and transaction messages in an appropriate lawful manner. Optional promotional messages need the applicable consent and unsubscribe mechanism. Service messages must not be used to conceal marketing.
9.5 Electronic agreement. You intend your affirmative signup action to record acceptance of this Agreement electronically. You must have an opportunity to access and save the agreed version. This acceptance is not blanket E-SIGN consent replacing every legally required paper notice.
9.6 Written consumer disclosures. If a law requires a notice in writing and electronic delivery is used in its place, supply any required separate disclosure and consent process, including scope, access requirements, paper-copy options, withdrawal and contact-update procedures. The general signup checkbox alone does not establish all those elements.
9.7 Evidence and requests. Keep proportionate acceptance evidence and provide a copy on request through the verified contact channel. Do not demand excessive identification or unnecessary new accounts for privacy rights. Lawful retention and statutory rights continue after account closure.
10. Moderation and Account Closure
Reasoned action, review and accrued rights
10.1 Action. We may restrict content or features, pause an auction, suspend an account or end access for a material breach, substantiated fraud, serious safety risk, repeat infringement or a lawful requirement. Urgent action may be necessary where delay creates harm.
10.2 Explanation. Where lawful and practical, explain the relevant grounds and affected feature, and provide an opportunity to correct or appeal. Details may be limited to protect people, evidence, security or a legally restricted investigation. An ordinary appeal does not replace a statutory copyright counter-notice.
10.3 Auction interruption. Record the affected sale status and apply its disclosed lawful rules. A technical interruption does not automatically authorize a different winner, revive a retracted bid or cancel a legally completed sale. Resolve completed-sale obligations and remedies separately.
10.4 Your closure request. You may request closure through the published route. Explain any outstanding transactions, memberships and payment consequences. Closure is not automatic cancellation of a valid completed sale, a substitute for stopping future billing, or an instant deletion of legally required records.
10.5 Money and access. Valid accrued earnings, refunds and funds held for you are not automatically forfeited. Undelivered paid benefits need the relevant lawful remedy.
Proportionate holds and documented adjustments must follow accepted terms and the applicable review process.
10.6 Records and survival. Retain necessary claim or transaction records only under a justified schedule and Privacy Policy. Ownership, limited lawful retention permissions, accrued payment duties, completed-sale obligations and applicable disputes survive only as needed. Survival does not grant perpetual promotional use of content.
10.7 Contacts to finalize. [INSERT monitored account support, transaction dispute and appeal channels before publication.] Do not present placeholder routes as functioning services.
11. Responsibility and Disputes
Mandatory rights remain available
11.1 Service responsibility. We do not guarantee commercial success, audience growth, error-free user content, uninterrupted streams or the quality of every third-party item. We remain responsible for our own representations and the service obligations applicable law requires. No disclaimer cures a knowingly misleading listing or campaign.
11.2 Preserved liability. Nothing limits non-excludable responsibility, including mandatory consumer remedies or liability for fraud, intentional wrongdoing or other matters that law does not permit us to exclude. Consumer use is not automatically business use merely because a user occasionally earns income.
11.3 Consumer protection. No universal “as is” consumer waiver, forfeiture, mandatory indemnity, damages cap or shortened claim deadline is imposed by this Agreement.
Applicable warranty, cancellation, refund, auction and privacy rights remain enforceable. 11.4 Business claims. Any proposed business-only limit or indemnity must be expressly set out in the adopted Terms or specific commercial agreement presented at acceptance, and remain lawful for the actual relationship. This draft does not silently import an unpublished limitation.
11.5 Law and courts. New Jersey law applies to the extent permitted without depriving consumers of mandatory local protections. Courts with lawful jurisdiction can hear disputes. Consumers are not compelled by this Agreement to waive home-jurisdiction rights. No mandatory arbitration, class-action waiver or jury waiver is introduced.
11.6 Informal resolution. You may contact us to resolve an issue, but this is not a required waiting period before a statutory remedy or regulatory complaint. Applicable legal limitation periods are not shortened.
11.7 Changes. Communicate material revisions prospectively and obtain renewed agreement where required. Do not alter completed sales or accrued rights retroactively. Reviewable copies and necessary cancellation/remedy information must remain available. Mandatory law controls any severance or conflicting clause.
